Terms of Service

By accessing or using the Entity Authority Platform ("Service"), a product operated by CommonJoe Corporation ("Company"), you agree to be bound by these Terms. If you disagree with any part of the terms, you may not access the Service.
2. Accounts & Security
- You must be at least 18 years old to use the Service.
- You are responsible for maintaining the security of your account and password. The Company cannot and will not be liable for any loss or damage from your failure to comply with this security obligation.
3. Subscription & Billing
- Payments: The Service is billed on a subscription basis (Monthly or Yearly). You agree to pay all fees in accordance with the plan you select.
- Payment Processors: Payments are processed via Stripe or PayPal. We do not store your financial information.
- Renewal: Your subscription will automatically renew at the end of each billing cycle unless you cancel it prior to the renewal date.
- Refunds: Refunds are processed at our sole discretion. We generally do not offer refunds for partial months of service.
- Price Changes: We reserve the right to adjust pricing for our Service or any components thereof in any manner and at any time. Any price changes will take effect following email notice to you.
4. Usage Limits & Quotas
- Tiers: Your license tier determines your usage limits (e.g., number of Reports, Keyword Checks, or Connected Locations).
- Overages: If you exceed your allocated quota, the Service may restrict your ability to run further reports or checks until the next billing cycle.
- Add-Ons: You may purchase additional quota (e.g., extra Location slots) as available. These purchases are non-refundable.
- Fair Use: We reserve the right to throttle or terminate accounts that intentionally burden our API infrastructure or violate fair use policies.
5. Google Dependencies (Disclaimer)
The Service relies on the availability and accuracy of third-party APIs, specifically Google Search Console and Google Business Profile.
- We Are Not Google: We do not control Google’s algorithms, API limits, or data availability.
- No Guarantees: We make no warranties that the Service will improve your search rankings or business performance. SEO is governed by third-party algorithms that change frequently.
- API Interruptions: We are not liable for service interruptions caused by changes to Google’s API standards or outages.
6. Intellectual Property
The Service and its original content (excluding your data), features, and functionality are and will remain the exclusive property of CommonJoe Corporation.
7. Termination
We may terminate or suspend your account immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms.
8. Limitation of Liability
In no event shall CommonJoe Corporation, nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from your access to or use of or inability to access or use the Service.
9. Governing Law
These Terms shall be governed and construed in accordance with the laws of The State of Georgia, without regard to its conflict of law provisions.
10. Changes
We reserve the right, at our sole discretion, to modify or replace these Terms at any time. By continuing to access or use our Service after those revisions become effective, you agree to be bound by the revised terms.
